Mr. Gallo’s practice focuses on banking, specifically representation of financial institutions in senior debt and mezzanine financings and corporate, real estate and venture capital transactions, including mergers and acquisitions. His representation responsibilities primarily involve drafting, negotiating and closing financial debt offerings on behalf of large national financial institutions and New Jersey-based thrift organizations, involving Eurodollar rate financings, large syndicated and agented credit facilities, cross-border merger financings, asset-based and international trade finance transactions, mezzanine debt issues, credit-enhanced and direct purchase tax-exempt bond obligations and hedge and derivative transactions involving the ISDA Master Agreement.

Counsel in a $45 million senior secured credit facilities for a leading educational institution.
Counsel in a $275 million senior secured credit facilities for a leading travel-related company.
Counsel in a $400 million syndicated asset-based financing for large college bookseller.
Mr. Gallo received his B.S. from the University of Rochester in 1985 and his J.D. from Boston University in 1988.
